• Digital marketing, SEO, advertising, and social media management
• Custom and personalized software solutions

2.2 The exact scope, deliverables, timelines, and pricing of services shall be defined in a written proposal, quotation, agreement, or email confirmation.

2.3 Any service not explicitly mentioned in the agreed scope will be considered additional and may be charged separately.

3. Website Care 360 – Special Service

3.1 Website Care 360 is a managed service that includes affordable website development along with hosting, maintenance, basic SEO, content updates, and technical support.

3.2 The service is subscription-based unless stated otherwise.

3.3 The Company reserves the right to modify features, pricing, or inclusions with prior notice.

3.4 Advanced SEO, paid ads, custom features, or third-party tools are not included unless clearly specified.

4. Client Responsibilities

4.1 The Client agrees to provide accurate, complete, and timely information, content, credentials, and approvals required for project execution.

4.2 Delays caused due to lack of response, incomplete inputs, or frequent changes by the Client may impact timelines and delivery.

4.3 The Client confirms that all materials provided (logos, images, text, data) do not infringe any third-party rights.

5. Payments & Billing

5.1 All payments must be made as per the agreed quotation or invoice.

5.2 Advance payments are non-refundable unless explicitly stated in writing.

5.3 Delayed payments may result in suspension of services, websites, hosting, or support.

5.4 Taxes, including GST or other applicable charges, shall be borne by the Client.

6. Refund & Cancellation Policy

6.1 Due to the nature of digital services, refunds are generally not applicable once work has commenced.

6.2 Subscription services can be canceled with prior notice, but unused periods may not be refundable.

6.3 Zentuerly reserves the right to terminate services if the Client violates these Terms or engages in unlawful activities.

7. Intellectual Property Rights

7.1 Upon full payment, the Client shall own the final delivered work unless otherwise agreed.

7.2 Zentuerly retains the right to showcase completed projects in its portfolio, website, and marketing materials.

7.3 Any pre-built tools, frameworks, templates, or proprietary systems used by Zentuerly remain the intellectual property of the Company.

8. Third-Party Services & Links

8.1 Our website may contain links to third-party platforms such as hosting providers, payment gateways, Google Forms, WhatsApp, Meta, Google Ads, or AlianaOS.

8.2 Zentuerly is not responsible for the availability, accuracy, or policies of third-party services.

9. Confidentiality

9.1 Both parties agree to maintain confidentiality of business information, data, strategies, and credentials shared during the engagement.

11. Limitation of Liability

12.2 Maintenance, updates, or technical issues may cause temporary service disruptions.

13. Termination

13.1 Either party may terminate services with written notice, subject to agreed terms.

13.2 Upon termination, all outstanding dues must be cleared.

14. Governing Law & Jurisdiction

14.1 These Terms shall be governed by and interpreted in accordance with the laws of India.

14.2 Any disputes shall be subject to the exclusive jurisdiction of courts located in India.
